Our client is hiring a Legal & Compliance Officer. This dual-role position provides legal support and oversees internal compliance. The officer ensures corporate governance obligations are met and offers legal guidance to support internal research and product development.

Overview:

The Legal & Compliance Officer plays a dual role, providing both legal support and internal compliance oversight. The role ensures corporate governance deliverables are met and provides legal interpretations to support internal research and product development.

Key Responsibilities:

Legal Duties

  • Draft, review, and interpret legal documents including contracts, service agreements, non-disclosure agreements, corporate resolutions, and policyholder documents, ensuring alignment with applicable laws and the company’s risk tolerance.
  • Provide legal guidance and internal opinions on complex matters involving client structures (e.g. trusts, LLCs), insurance regulations, investment-related issues, and international frameworks relevant to PPLI.
  • Liaise with external legal counsel to validate legal interpretations, obtain specialised advice, or finalise legal documentation, ensuring that matters are efficiently managed and documented.
  • Support the Board and executive team in corporate governance requirements by reviewing Board packs, ensuring Board Book accuracy, and coordinating follow-up on matters arising.
  • Track and assign board-related action items to relevant departments and ensure timely completion.
  • Review or co-draft internal policies, client agreements, and procedural documentation in line with legal and regulatory standards.
  • Identify, assess, and advise on potential legal risks across business units and recommend mitigation strategies, including appropriate escalation or crisis management protocols.
  • Monitor and analyse legislative or regulatory developments locally and internationally, issuing internal guidance where required.
  • Maintain and manage the relationship with external legal counsel, ensuring the organisation is effectively represented in legal matters or proceedings.
  • Collaborate with the Research & Product Development team to provide legal input on proposed product changes or entry into new markets or jurisdictions.

 

Compliance Support

  • Assist the Compliance Officer/Compliance Manager and wider risk and compliance team in the maintenanceand updating of regulatory frameworks, including AML/CFT policies and client onboarding procedures.
  • Support the preparation and submission of compliance reports to regulators or other external stakeholders, as needed.
  • Conduct legal reviews of compliance documentation, such as entity-wide risk assessments, suspicious activity procedures, or regulatory responses.
  • Participate in internal audits and investigations where legal interpretation or support is required.

General

  • Perform any other duties or responsibilities as may be reasonably assigned by the Company from time to time, in accordance with the needs of the business.

  

Education: Law degree (LLB) or equivalent; admission to the Bar in a recognized jurisdiction preferred. Additional compliance certification (e.g., CAMS, ICA) is a plus.

Experience: 3–6 years of experience in compliance, corporate law, or financial regulation. Experience with cross-border structures or international private wealth management is ideal.

Key Skills:

  • Legal drafting, interpretation, and policy writing.
  • Understanding of AML/CFT regulations and global compliance standards.
  • Governance and board support experience (e.g., Board Book content, minutes).
  • Strong writing and communication skills.
  • Ability to liaise with internal stakeholders and external counsel effectively.
