Legal Advisor

Main Purpose of Job:

The Legal Advisor provides legal support to the Senior Manager - Legal by conducting legal research on strategic and high level items, providing legal advice, reviewing/drafting contracts, assisting in ensuring compliance with laws, internal policies and procedures, performing functions related to policy drafting/review and administration and assisting with the management of legal risks having regard to high level matters/projects within the Group.

 

Key Duties and Responsibilities:

Assists the Senior Manager – Legal in:

  • Managing the contract preparation process by liaising with internal customers and reviewing and/or drafting contracts, deeds, leases, and other legal documents.
  • Conducting legal research on strategic/high level matters and providing legal advice and opinions to all stakeholders.
  • Managing the litigation portfolio (including litigious and potentially litigious matters) by negotiating in the Group's interests where relevant, liaising with and briefing counsel, drafting pleadings and/or legal documents, managing case files, attending court matters and reporting on same, performing general case management duties and providing in-house support.
  • Managing the Group’s debt portfolio and provides a monthly update on monies recovered.
  • Providing assistance and guidance on industrial relations matters.
  • Preparing and/or updating the relevant reports and registers such as legal reports, debt reports, compliance registers, trademark registers and any other document that may be deemed necessary.
  • Ensuring all annual liquor licenses, manufacturing licenses, permits and Customs & Excise bonds are renewed/managed and filed in a timely manner and in accordance with regulatory requirements;
  • Liaising with Customs agents on matters involving the Customs and Excise Division;
  • Performing functions related to Policy Administration such as reviewing and evaluating legislation in the context of policies being created and identifying legal flaws/risks in policies and recommending amendments.
  • Making recommendations for training to assist with the development of members of the Legal and Corporate Secretariat Departments.
  • Conducting training sessions and/or workshops for the Group.
  • Providing legal guidance and support to internal stakeholders in relation to key strategic projects and initiatives.
  • Managing and monitoring budgets and resources.
  • Preparing monthly compliance and exception reports for submission to the Senior Manager- Legal or as otherwise required.
  • Maintaining (i.e. reviewing, revising, updating) and continually improving the Group's Policy Register and generating policy register reports (as requested), having regard to the relevant requirements and best practices.
  • Reviewing and evaluating legislation and/or changes in local/international best practices, in the context of the policies being created and/or existing policies requiring amendments based on any gaps/flaws/risks.
  • Supporting the Group with training of employees on best practice techniques for the drafting of policies.
  • Consulting with policy owners to determine needs and goals of policies and conducting quality assurance checks on all policies before submission to the relevant Sub-Committee/Board and signature by the Corporate Secretary.
  • Reviewing legislation, regulations, international standards/best practices and internal policies/procedures to continuously update and improve the Group's Compliance tracking monitoring.
  • Liaising with external regulatory agencies in consultation with the Senior Manager- Legal to treat with any regulatory risks.

  

Other Responsibilities:

  1. Assists with managing the Group’s Trademark portfolio and liaising with Trademark Agents both locally and abroad as requested.
  2. Oversees the development and maintenance of the Legal/Corporate Secretary's department procedures.
  3. Assists with the review of complex, confidential and high-level matters as requested by the Senior Manager- Legal.
  4. Provides fundamental support to the Senior Manager - Legal by performing any other duties as may be deemed necessary.

Required Qualifications/Experience/Competencies/Attributes:

  • Bachelor of Laws from a recognised university.
  • Legal Education Certificate (L.E.C) or equivalent.
  • Master of Law or MBA will be an asset.
  • At least seven (7) years’ experience as an Attorney-at-Law, preferably with exposure to the drafting and review of commercial contracts and the management of litigation matters in a corporate environment.
  • At least four (4) years experience at a managerial level, preferably within an in-house legal environment.

  • Any equivalent combination of qualifications and experience.
