DUTIES AND RESPONSIBILITIES:

 

JOB OBJECTIVE:

  1. The Company Secretary will be required to effectively perform corporate secretarial duties including the management of all company records, as well as provide the Board of Directors and Management with advice and guidance on issues of compliance and corporate governance.
  2. The Company Secretary will ensure that all of the requirements of the Companies Act and all other statutory regulations are met by the Company.
  3. Duties and Responsibilities:
  4. Management of the official company records and minutes of the Board of Directors and Committees;
  5. Recording of minutes during Board and Committee meetings;
  6. Ensuring that Directors are effectively advised as to the discharge of their fiduciary duties;
  7. Maintaining register of directors, secretaries, addresses and statements of charge;
  8. Signing of contracts, deeds, memoranda and all other instruments which may legally bind the company;
  9. Ensuring compliance with listing rules and other regulatory codes and acts
  10. Ensuring compliance with statutory filing requirements
  11. Management of the staff of the Company Secretary Department
  12. Scheduling of various Tenders Meetings and Board Meetings and ensuring that all packages are accurately compiled and forwarded to the Board of Directors prior to the relevant meetings
  13. Ensures decisions are communicated to the various departments of THE COMPANY and stakeholders
  14. Any other related functions as required

 

Qualifications and Experience:

  1. A Bachelor of Law Degree (LLB) and a Legal Education Certificate (LEC)
  2. A minimum of six (6) years experience as a practising Attorney at Law
  3. Any equivalent combination of qualifications and experience.

 

Special Skills and Knowledge:

  1. Extensive knowledge of the laws of Trinidad and Tobago or any other Caribbean Country.
  2. Considerable knowledge of modern management techniques and practices.
  3. Ability to exercise mature judgment and discretion in assessing programmes, in making difficult job decisions and in interpreting policies and procedures.
  4. Excellent leadership, interpersonal and communication skills.
  5. Full working knowledge of the Microsoft Office software package.
  6. Ability to function effectively as a member of the Company’s management team.

 

Performance Standards:

  1. Standards set in relation to the Department’s business plan, strategic objectives and budgets.
  2. The company’s policies and procedures.
  3. Established professional standards, industry best practice and statutory requirements.
