ICR Holdings Limited, parent company of Island Car Rentals Limited and Jamaica Rental Company Limited, is seeking a highly motivated and experienced Corporate Secretary and Legal Officer to function at the parent company level.
The successful candidate will serve as Corporate Secretary to the Boards of ICR Holdings and its subsidiaries as well as Legal Officer to provide comprehensive expert legal advice to the Boards and Management, safeguarding the Group’s interests and ensuring compliance across its diverse operations.
Key Responsibilities:
- Arrange meetings of the Boards of Directors and sub-committees of the Boards.
- Ensure timely preparation and dissemination of agenda, minutes of meetings, actions items and other relevant documents to the Board of Directors
- Track and follow up to ensure that key decisions of the Board are carried out and actions items are properly addressed by the requisite personnel.
- Advise the Boards of Directors on corporate governance and statutory requirements in Jamaica and in new markets where the Group operates.
- Coordinate and document meetings of the Parent Company and subsidiary Boards and Committees across multiple jurisdictions.
- Prepare and maintain official corporate records, registers, filings, and custody of the corporate seals.
- File statutory and regulatory reports in Jamaica and other jurisdictions, ensuring compliance with international standards.
- Provide governance guidance to Directors and Senior Management, including on mergers, acquisitions and foreign investment matters.
- Participate in the strategic planning function of the Group.
- Provide proactive prudent legal advice on corporate, commercial, regulatory, employment, transportation, and real estate matters.
- From time to time draft, review, and negotiate contracts/agreements with suppliers and service providers of the Group of Companies
- Assist with developing policies across the Group’s local and international operations.
- Develops and documents general legal guidelines to support the day-to-day activities of the Group, making them available to senior management and other relevant staff members and assist in their interpretation and application of same.
- Ensure compliance with Jamaican laws and the legal frameworks of other jurisdictions in which the Group may operate.
- Guide Management and the Boards on risk management, statutory compliance, mergers, acquisitions, and cross-border partnerships.
- Manage litigation and dispute resolution locally and regionally, liaising with external counsel as may be required from time to time.
- Monitor legislative and regulatory changes locally and internationally and advise on their potential impact on the Group’s expansion strategy given its line of business.
Qualifications & Experience:
- Bachelor of Laws (LLB) and Certificate of Legal Education.
- Licensed Attorney-at-Law, qualified to practice in Jamaica.
- Minimum of 7 years’ post-qualification experience in corporate/commercial law, governance or company secretarial practice.
- Sound knowledge of the Companies Act (Jamaica) and familiarity with international governance frameworks.
- Demonstrated ability to advise Boards of Directors and senior executives.
- Experience working with multinational or companies expanding regionally would be a distinct advantage.
- Proven ability to support Boards of Directors in complex, multi-jurisdictional environments.
