Purpose: Provide technical and administrative support consistent with Unicomer Group policies, guidelines and standard operating procedures (SOPs) to maintain the statutory corporate health of the companies that comprise the regional group as well as management of the Group’s trademark portfolio.
Principal accountabilities:
Paralegal Responsibilities:
- Assist the Regional Counsel with the operational implementation and enforcement of the Legal and Corporate Secretarial/Governance policies to ensure that all entities in the Region are current with corporate filings and other statutory reporting requirements.
- Assist in the preparation and settling of all forms required for annual corporate /company filings and/or for recording of changes to a company’s corporate status including but not limited to the Annual Returns, Notices of Change of Directors, Secretary(ies), Address, (or equivalent in the respective jurisdictions) when same are due and assist in the preparation of due diligence forms and other corporate information input sheets as and when required to ensure that Unicomer Group forms valid legal/ contractual business relationships.
- Assist with all renewals of registrations with regulatory authorities which are required in the various jurisdictions as well as any trade and/or other business licenses which are necessary to ensure that the relevant entity has the required licenses and same is renewed as and when required.
- Prepare and manage the contents of all contingencies existing in the companies in the Group and report periodically on same to ensure that same are being addressed.
- Manage, organize, and maintain documents on paper or electronic filing systems (legal shared drive) to ensure documents of the department are easily retrievable.
- Keep accurate records of all transactions coming into the Legal and Compliance department to ensure that same are addressed in a complete and timely manner.
Trademark Officer Responsibilities:
- Oversee and manage the registration and defence of all trademarks owned by Caribbean Licensing Corp (CLC), including liaising with CLC affiliate companies under the Unicomer Group as well as external counsel in relation to same to ensure trademarks are protected.
- Maintain and organize the trademark databases, files, and records to ensure data accuracy and compliance, and monitor expiration dates to facilitate timely renewals of registrations.
- Manage the use and implementation of the various royalty agreements which exist between CLC and its said affiliates to ensure compliance with the terms and conditions of same, as well as timely renewals of said agreements.
- Respond to trademark-related inquiries from various user groups, including the CLC affiliates.
- Perform all other relevant duties related to the above-mentioned categories that may be assigned to you by your management line.
Job Specifications
Qualifications and Experience:
- Diploma in Law or equivalent professional qualification in law or paralegal studies, administrative management.
- At least three (3) years’ experience working in an in-house legal department or law firm.
- Professional administrative and ICSA certification would be an asset.
Knowledge, Skills and Ability:
- Strong IT skills with a good understanding of technology.
- Experience with certification schemes, trademark management, customer relations, project management or other related fields.
- Highly organized and detail-oriented, with an acute ability to communicate effectively both orally and in writing.
- Ability to perform well while handling simultaneously several processes and projects.
- A strong sense for diligence and accuracy.
- Strong analytical skills.
- An ability to work effectively both individually and as part of a team.
- Excellent technical and computer literacy skills with proficiency in Microsoft Office.
- Knowledge and understanding of company law, trademarks law, and legal compliance procedures would be a distinct advantage.
- A high degree of professional ethics and integrity.
- A high level of professionalism, self-motivation, and sense of urgency in performing job responsibilities.
- Fluency in English (spoken and written).
- Spanish is a plus.
