Job Summary:
The incumbent is responsible for ensuring that all legal risks across the Group of Companies are identified, managed, and mitigated. This includes providing comprehensive legal advice on a wide range of matters such as compliance, recoveries, new products, and regulatory changes, ensuring legal oversight across all entities within the Group. The incumbent is also responsible the oversight and management of the internal legal department to ensure that all duties are carried out efficiently and effectively and in keeping with the Group’s quality standards.

 

KEY ACCOUNTABILITIES :

Compliance Support:

  • Assist the Compliance Officer in ensuring that all companies within the Group comply with relevant laws and regulations, providing legal advice and recommending policy updates where necessary.
  • Ensure timely regulatory filings related to distributions for all entities in the Group.
  • Research and stay updated on laws, regulations, and guidelines affecting the Group’s operations, and distribute this information to relevant stakeholders.
  • Maintain an updated register/file (both electronic and hard copy) of applicable laws and regulations governing the operations of the Group.
  • Act as an alternate Group Compliance Officer when needed.

 

Legal:

  • Conduct legal research to provide advice and updates on policies, procedures, and operational frameworks for all entities in the Group.
  • Establish a legal framework for the Group’s entities within an enterprise risk management structure.
  • Liaise with internal and external legal counsel concerning all legal agreements and documents, ensuring consistency across the Group.
  • Manage and lead engagements with external legal counsel, ensuring alignment with the Group’s legal strategy.
  • Provide legal advice to minimize risk across the Group, particularly in relation to corporate structure, collateral arrangements, and transaction execution.
  • Draft, review, and prepare legal documents, ensuring adherence to legal standards and alignment across the Group's entities.
  • Ensure that all legal documents supporting transactions within the Group meet quality standards and are executed before disbursement.
  • Prepare a matrix outlining legal documentation requirements and monitor compliance throughout the lifecycle of each transaction.
  • Follow up with external attorneys on legal matters for all entities.
  • Oversee legal actions relating to delinquent accounts across the Group, ensuring that appropriate legal steps are taken promptly.
  • Ensure the proper registration and documentation of transactions and other legal matters across the Group’s companies.

 

Administration:

Ensure efficient maintenance of a filing system for the legal department, including electronic records, to meet the needs of the Group.

 

Trustee Relations:

Supervise the Legal and Compliance Team to ensure:

  • The proper tracking and payment of trustee and legal fees.
  • Reconciliation of trustee fees with the Paying Agent’s reports for the Group.
  • Vetting and processing of payments to Trustees, maintaining records for all entities.
  • Submission of Know Your Customer (KYC) documents for clients to the Trustees across the Group.
  • Maintenance of files for Trustee annual returns, agreements, procedures, and compliance documents.
  • Monthly submission of asset management reports and payment status updates to the Trustees for the Group.
  • Supervise the Legal and Compliance Team to ensure:

 

Recoveries

  • Review weekly reports on overdue payments for the Group’s entities.
  • Oversee legal actions for all delinquent accounts, ensuring proper documentation and resolution in accordance with the Group’s policies.
  • Maintain complete files of legal actions, including correspondence and communication with relevant parties.

 

Custodian:

  • Supervises Legal and Compliance Administrator to ensure:
  • Maintenance of a Register of all collateral and legal documents for the Group’s entities.
  • Safe custody and secure storage of legal documents, preventing unauthorized access or damage.
  • Timely reporting of any discrepancies in legal documents to Relationship Managers.
  • Custody and reconciliation of investment certificates and documents for the Group’s assets.
  • Ensure that due diligence, duty of care, and risk management guide all legal activities across the Group.
  • Contribute to the achievement of the Group’s strategic objectives.
  • Maintain a professional image and represent the Group positively in all dealings.
  • Provide superior customer service by anticipating the needs of the Group’s clients and exceeding their expectations.
  • Performs all other related duties that may occur from time to time as assigned by the Group Head of Risk Legal and Deal Management.

 

 

MINIMUM JOB REQUIREMENTS

 

  • LEC. MBA will be an asset.
  • Minimum of 5 years’ experience as a practicing Attorney at law.
  • Legal Education Certificate or equivalent from a recognised institution.
  • Admission to practice law in Trinidad and Tobago.
  • Valid Practising Certificate.
  • Experience in the financial services sector is an asset.

KNOWLEDGE, SKILLS, AND ABILITIES

Knowledge:

  • Considerable knowledge of the Laws of Trinidad and Tobago- Company Law, Securities Laws, Anti- Money Laundering Laws;
  • Knowledge of legal drafting principles and practices.
  • Knowledge of legal research skills and techniques;
  • Knowledge of the court procedures and practices and of rules of evidence.

Skills:

  • Skill in drafting legal documents/instruments;
  • Proficiency in the use of Microsoft Office Suite.
  • Efficient communication skills.

Abilities:

  • Ability to analyze and interpret legal issues and provide clear legal advice.
  • Ability to maintain confidentiality and establish effective working relationships.
  • Strong multitasking skills, with the ability to manage multiple deadlines and work under pressure.
  • Critical thinking and decision-making abilities.
