Sagicor Group Jamaica Limited is seeking a suitable candidate to join Group Corporate Secretarial and Corporate Trust team in the capacity of:

 

 

Manager – Corporate Secretarial and Registrar Services
(Special Projects) (Grade 4)

  

 

Responsible for providing a full range of Legal (including advisory, document review and vetting, guidance and directions), Project Management and Corporate Secretarial services to the Corporate Trust and Corporate Secretarial Services Unit.

 

Provide corporate secretarial services for companies within the Sagicor Group (as assistant company secretary where required) and to external companies managed by the unit.

 

Support the Head of the Corporate Trust and Corporate Secretarial Services Unit in the management of legal and regulatory risk for the Sagicor Group of Companies, Corporate Secretary and Corporate Trust functions and Project Management

 

 

Location: Kingston

 

As Manager – Corporate Secretarial and Registrar Services
(Special Projects), you will:

 

  • Provide corporate secretarial services internally and externally to the relevant stakeholders including providing monthly reports to the board as required and functioning as the recording secretary for assigned subsidiary boards and committees of assigned boards.
  • Conduct assessment of deficits in the unit, identify and recommend strategies or processes to address the issues.
  • Assist in the development of new services within the unit and ensure alignment with applicable laws and regulations.
  • Prepare and/or review contracts and undertake legal issues. Negotiate contracts on behalf of the company.
  • Research and advise on complex legal issues in the areas of company and corporate trust services laws.
  • Develop, manage/ maintain budgets within approved expense ratios.
  • Be the unit liaison for any project initiated or supported by the unit.
  • Assist the Corporate Secretary in all day-to-day functions and to provide ongoing support to the corporate secretarial division.
  • Perform any other job-related duties assigned from time to time.

 

What do you need?

 

  • Bachelor of Laws Degree from a recognized institution.
  • Certificate in Legal Education.
  • Attorney-At-Law qualified to practice in Jamaica with a minimum of five (5) years’ experience in the related field.
  • Admission to practise at the Jamaican Bar.
  • Sound knowledge of computer software packages such as word processing and spreadsheet applications.
  • In-depth knowledge of commercial law, company law, JSE Rules and regulatory requirements in the industry.
  • Excellent interpersonal and problem-solving skills
  • Sound knowledge of the Corporate Trust Services Act and other relevant legislation.
  • Specialized courses or job training/expertise in Project Management; Business Administration; Corporate Secretarial Administration and continuing education to keep abreast of new developments.
  • Good research and analytical skills.
  • Good oral and written communication skills.
  • Good time management and organising skills.
  • Strong supervisory skills.
  • Detailed oriented, analytical and accurate.
  • Initiative, tact and flexibility.
  • High level of confidentiality.
  • Unquestionable integrity.
