Position Summary
The Legal & IP Governance Manager / Assistant Corporate Secretary provides legal operations, intellectual property administration, corporate governance, and corporate secretarial support across the Abaxx group of companies. This role works closely with the CLO and executive leadership to maintain governance processes, intellectual property records, board administration, subsidiary compliance, and legal documentation while supporting the organization's operational and economic substance objectives.

This position creates sustainable legal and governance infrastructure, maintains day-to-day evidence of intellectual property administration and governance activities in Barbados, and reduces dependency on any single individual for critical legal and corporate governance functions.
Essential Duties and Responsibilities
Intellectual Property Management
- Maintain and administer the group's intellectual property portfolio, including patents, trademarks, copyrights, domain names, and related assets.
- Maintain IP registers, filing calendars, renewal schedules, and prosecution tracking systems.
- Coordinate intellectual property filings, renewals, office actions, assignments, and prosecution matters with external counsel.
- Maintain records of licensing agreements, royalty arrangements, IP assignments, and commercialization activities.
- Track intellectual property obligations, deadlines, and reporting requirements.
Corporate Governance & Secretarial Support
- Prepare board agendas, board books, resolutions, minutes, registers, governance records, and execution copies.
- Coordinate board and committee meetings and ensure timely distribution of materials.
- Maintain statutory records, corporate registers, and governance documentation for group entities.
- Support entity management activities, including incorporations, reorganizations, and subsidiary governance requirements.
- Ensure compliance with corporate governance requirements and recordkeeping obligations.
Legal Operations
- Support contract administration processes, including tracking obligations, renewals, approvals, and document retention.
- Assist with contract reviews, legal correspondence, and operational legal matters.
- Maintain legal records, document repositories, and compliance files.
- Coordinate with external legal advisors and service providers.
- Support due diligence projects, financing transactions, and strategic initiatives.
Compliance & Risk Management
- Maintain Barbados substance evidence files related to legal and governance activities.
- Monitor governance and legal compliance obligations.
- Identify and escalate legal, governance, and intellectual property risks.
- Assist in developing and maintaining legal policies, procedures, and internal controls.
Other Duties
- Support special projects as assigned by the CLO and Executive Team.
- Perform other related duties as required.
Qualifications
Education
- Bachelor's Degree in Law, Business Administration, Corporate Governance, Paralegal Studies, or related field required.
- Corporate Secretarial, Governance, or Paralegal certification preferred.
Experience
- 5-8 years of progressively responsible experience in legal operations, corporate governance, intellectual property administration, corporate secretarial support, compliance, or related legal functions.
- Experience supporting boards of directors and subsidiary governance preferred.
- Experience working with external counsel and intellectual property portfolios preferred.
