A prominent employer in the financial services sector invites suitably qualified candidates to apply for the role of Deputy General Counsel.

This role is to provide legal services and advice to the CEO and Board of Directors on all legal matters that affect or may affect the Company and its subsidiaries (the “Group”). He/She may be assigned as the Corporate Secretary for the Company and one or more of its subsidiaries.

 

1.       KEY RESPONSIBILITIES

  • Oversee the legal department of the Group including managing the legal staff and ensuring they perform in accordance with required standards and protocols and established deadlines.
  • Recommend changes to company policies and procedures to ensure compliance with local and international law and general corporate governance practices.
  • Liaise and work with external counsel as necessary, including with respect to any litigation matters.
  • Provide legal services in a competent, timely and professional manner including examining and preparing, reviewing and negotiating a wide range of agreements and legal documentation and providing legal advice.
  • Conducting legal research and providing opinions on various matters affecting the Group, including with respect to regulatory matters.
  • Keep abreast of legislative changes affecting the businesses of the Group and advising executives, senior management and Boards on various legal rights, requirements, options and powers in relation thereto as well as proposed, new and existing laws.

2.       JOB SPECIFICATION/ COMPETENCIES (Minimum)

Required Qualification, Experience, Knowledge and Skills:

  • An attorney-at-law entitled to practice at the Jamaican Bar
  • Fifteen (15) years’ experience, particularly in commercial law & banking and financial services
  • Working knowledge of laws affecting the Group’s main business lines including the Banking Services Act, Securities Act, Insurance Act, Pensions Act, Money Laundering Act, Companies Act, Trade Marks Act, Data Protection Act and all applicable regulations made pursuant thereto and Guidelines
  • Knowledge of Corporate Secretarial practices and procedures
  • Ability to establish rapport and maintain effective working relationships with management personnel, external counsel, the Boards of Directors , external auditors, regulators and other Government agencies as necessary
