The Corporate Services Officer provides comprehensive support to the Corporate Secretary in areas such as corporate secretarial duties, governance, document management and monitoring.

This role demands a high level of professionalism, attention to detail and strict confidentiality. The Officer plays a vital role within the Company’s governance framework and contributes to various responsibilities of the Corporate Secretary. These responsibilities may evolve over time in response to changes within the organisation’s strategic, competitive and regulatory environment.

The incumbent is responsible for assisting with the effective implementation of the Company’s governance, risk-management and Environmental, Social and Governance (ESG) frameworks. The role interfaces with the Management Team, Government Ministries, Consultants as well as the Internal and External Auditors. 

 

DUTIES AND RESPONSIBILITIES:

  • Provides guidance and advice to Management on corporate governance, risk management and ESG issues
  • Drafts internal and external communications on governance and board-related matters as directed by the Corporate Secretary
  • Assists with the development and implementation of both the Enterprise-Wide Risk Management and ESG frameworks
  • Assists with the roll-out of governance policies throughout the Organization
  • Conducts research on governance-related matters, as directed by the Corporate Secretary
  • Continuously monitors risk exposures, tracks the effectiveness of implemented controls and reports findings to the Corporate Secretary
  • Collaborates with functional departments to integrate risk management practices into daily operations and effectively communicate risk-related information to stakeholders
  • Provides training and guidance to staff on risk management practices and promotes a culture of risk awareness
  • Develops and maintains relationships between internal and external stakeholders, critical to this portfolio
  • Coordinates and documents Committee and shareholders’ meetings; follows-up for closure on matters arising
  • Performs any other duties, related to Corporate Services and as instructed by the Corporate Secretary

 

REQUIREMENTS

  • A Chartered Secretary designation or a bachelor’s degree in management
  • An MBA would be an asset
  • A minimum of five (5) years’ experience in a corporate governance environment with at least three (3) years at an officer level
  • Work experience in records management would be an asset
  • Relevant experience in risk management, auditing or compliance roles is preferred
  • Good understanding of governance in a manufacturing environment
  • Ability to understand the issues and challenges facing the organization and to add value in that context
  • Strong communication skills. Must be able to communicate in a logical and organized manner at all levels in the organization. Must be able to provide information in a format that is easily understood and permits feedback
  • Strong analytical skills and business acumen with keen attention to detail
  • Above average report writing, research and analytical skills
  • Proven ability to manage competing priorities while maintaining high accuracy
  • Excellent interpersonal and organisational skills
  • Demonstrates a high level of professionalism at all times
  • Proficient in Microsoft Office applications
  • Ability to work with minimal supervision and meet strict deadlines
  • Discreet, trustworthy and able to handle sensitive information with confidentiality
