The Jamaica Stock Exchange, Jamaica Central Securities Depository & JCSD Trustee Services Ltd. seek to identify highly motivated professionals to fill the position of Corporate Service Officer.

Reporting to the Corporate Secretarial Services Manager, the responsibility of the Corporate Secretarial Services Officer is to assist in providing Corporate Secretarial services in ensuring that the Clients comply with the corporate laws and the Companies Act in relation to their respective Organizations.  The Corporate Secretarial Officer will also provide assistance to the Manager to manage clients’ corporate risks and adherence to Corporate Governance policies and standards. 

 

The responsibilities of the Corporate Secretarial Services Officer include, but are not limited to:

 

  1. Assist in ensuring that the affairs of the Client are managed in accordance with its objectives contained in the Articles of Association and the provisions of the Companies Act.

 

  1. Liaise with the Client to arrange with and to call and hold meetings of the Board and to prepare correct record of proceedings.

 

  1. Attend Board Meetings in order to ensure that the legal requirements are fulfilled and provide such information as are necessary on behalf of the Client.

 

  1. Assist in ensuring that all matters concerned with the allotment of shares, and issuance of share certificates including maintenance of statutory Share Register and conducting the appropriate activities connected with share transfers.

 

  1. Assist in the preparation, approval, signing and sealing of agreements, leases, legal forms, and other official documents on the Client’s behalf, upon authorization by the Board of Directors or the authorised representative of the company.

 

  1. Filing of the Client’s documentation/returns as required under the provisions of the Companies Act.

 

  1. Ensure proper maintenance of the Client’s books and registers as required under the provisions of the Companies Act.

 

  1. To ensure that legal requirements of the allotment, issuance and transfer of share certificates, mortgages and charges, have been complied with by the Client.

 

  1. To issue notice and agenda of board meetings to Directors of the company on behalf of the Client

 

  1. To assist in garnering new registers for companies that are not listed on the JSE for the Registrar Services to manage.

 

  1. To assist in handling correspondence between the Client and its shareholders.

 

  1. To make arrangements for the payment of the dividend within prescribed period as provided under the provisions of the Companies Act on behalf of the Client

 

  1. To assist companies with their registration in accordance with the Companies Act. 

 

  1. Prepare and file Annual Returns and Beneficial Ownership Returns at the Companies Office. 15. Set up and maintaining clients Registers, especially Shareholder and Beneficial Ownership Registers.

EDUCATION & EXPERIENCE:

  •      Bachelors Degree in Management Studies or Certificate in Corporate Secretarial Services equivalent
  •      Three years’ experience in Corporate Secretarial Services

 

SPECIFIC KNOWLEDGE REQUIRED:

  •  Sound knowledge of the Corporate Secretarial Service
  •  Knowledge of PSOJ Corporate Governance
  •  Knowledge of Companies Act

 

SPECIALISED TECHNIQUES/SKILLS:

  •  Strong communication, negotiation, presentation and interpersonal skills.
  •  Excellent organizational and time management skills.
  •  Ability to build and maintain strong client relationships.
  •  Ability to work effectively in a fast-paced environment.
  •  Ability to analyze client needs.
  •  Proficiency in Microsoft Office.
  •  A high level of professionalism is displayed at all times.
