This is a permanent role, based in Port-of-Spain.
JOB SUMMARY
The Corporate Secretary serves as the primary governance advisor to the Boards of Directors of the three Companies (Telecommunications Services of Trinidad and Tobago Limited, Amplia Communications Limited, Nuklyus Company of Tobago Limited), ensuring effective Board processes, compliance with statutory obligations, and the maintenance of corporate records. The role acts as a key liaison between the Board and Management, fostering transparent communication, supporting Board effectiveness, and ensuring adherence to best practices in corporate governance.
DUTIES & RESPONSIBILITIES
Board and Shareholder Administration
- Plan, organize, and support Board and Committee meetings, Annual General Meetings, and Special Meetings.
- Prepare agendas, distribute meeting packs, and record accurate minutes capturing discussions, decisions, and actions.
- Maintain shareholders and director registers and file statutory notices and returns.
Corporate Governance
- Advise the Board on corporate governance standards, Companies Act compliance, and best practices.
- Ensure Directors are aware of their duties, responsibilities, and legal obligations.
- Facilitate Board evaluations, induction, and ongoing training.
Statutory Compliance and Records
- File Annual Returns and statutory documents with the Companies Registry and other regulators.
- Maintain statutory registers, custody of corporate instruments, and corporate seal usage.
Board–Management Liaison
- Serve as a communication channel between the Board and Executive Management.
- Ensure the timely flow of information for informed decision-making.
Risk and Control Support
- Advise the Board on the adequacy and effectiveness of risk management, control, and governance processes.
- Workplace Safety – Ensure that all work is done in accordance with established safety practices and procedures.
- Perform other related duties required by job function, as directed by the manager.
QUALIFICATIONS AND EXPERIENCE
- Bachelor of Laws Degree (LLB) and Legal Education Certificate (LEC) or Chartered Secretary qualification (ICSA or equivalent).
- Seven (7) to ten (10) years’ experience in a corporate secretarial or governance role, preferably within a regulated industry.
- Any relevant combination of qualifications and experience at an appropriate level to competently perform required duties will be considered.
