Trinidad Petroleum Holdings Limited is seeking an experienced and highly professional Corporate Secretary to serve as the Company’s principal governance officer. The role is responsible for ensuring full compliance with all statutory, regulatory, and governance requirements.

 

 

KEY RESPONSIBILITIES

  • Ensure full compliance with and provide advice in respect to the various relevant legislative instruments, regulations, and applicable Government policies, directives, and circulars.
  • Monitor adherence to Corporate Governance Codes, State Enterprise Performance Monitoring Frameworks, and Cabinet-approved and/or internal governance guidelines.
  • Ensure timely statutory and regulatory filings with oversight ministries, Companies Registry, regulators, and statutory authorities.
  • Plan, coordinate, and attend Board, Board Committee, and Shareholder meetings, including Annual and Special General/Shareholders’ Meetings.
  • Draft, review, and maintain accurate minutes, resolutions, and records of Board and Board Committees decisions in accordance with public sector governance standards and good corporate secretarial standards and practice.
  • Track Board decisions and ensure timely implementation and reporting.
  • Guide Directors on conflicts of interest, declarations, recusals, and disclosure requirements.
  • Support Board induction, orientation, and ongoing governance training.
  • Act as primary liaison with Line Ministries, regulators, oversight bodies, and statutory agencies.
  • Coordinate responses to regulatory inquiries, audits, and compliance reviews.
  • Manage and maintain Codes of Conduct, whistleblower mechanisms, and conflict-of-interest registers.
  • Support investigations, disciplinary processes, or governance reviews as required.
  • Serve on the company’s PDAC
  • Maintain statutory registers, corporate seals, official records and confidential documents, ensuring accuracy and accessibility.
  • Perform all duties in conformance to appropriate health, safety, security and environmental policies and procedures.
  • Perform any other related duties as required by the job function.

 

EDUCATION REQUIREMENTS

  • Bachelor’s Degree in Law from a recognised institution
  • Legal Education Certificate (LEC) or equivalent
  • Admission to practice Law in Trinidad and Tobago
  • Professional certification in Company Secretarial Practice or Corporate Governance

 

EXPERIENCE

  • Minimum of 7 years’ experience in a corporate secretarial, governance, legal, or compliance role.
  • Demonstrated experience supporting Boards in a regulated or public sector environment.
  • Experience within a State Enterprise, statutory authority, or regulated industry would be an asset
  • Familiarity with Government reporting, Cabinet submissions, and ministerial protocols would be an asset.
  • Extensive knowledge of the Laws of Trinidad and Tobago and the laws and regulations pertinent to the operations of the Trinidad Petroleum Holdings Limited.
