Corporate Secretary & Compliance Manager

We are seeking an experienced and professionally grounded Corporate Secretary & Compliance Manager to serve as the custodian of these responsibilities across our full portfolio of operations - working directly with the President to keep the organisation compliant, well-governed, and legally sound.

 

01   About the Organisation

Rose Hall (Developments) Limited is, first and foremost, a real estate development company - one of Jamaica's most celebrated and diversified organisations, anchored in the historic Rose Hall area of St. James. Beyond land development and real estate sales, our operations span championship golf at the White Witch and Cinnamon Hill Golf Courses, heritage tourism at the Rose Hall Great House and Cinnamon Hill Great House, weddings and events, and a Utilities Division providing water reclamation and potable water distribution services.

The breadth of this portfolio - each business unit carrying its own regulatory, licensing, and corporate obligations - makes the Corporate Secretary & Compliance Manager a role of significant institutional trust and operational reach.

 

02   The Role

Reporting directly to the President, the Corporate Secretary & Compliance Manager holds senior responsibility across four interconnected domains: corporate governance and company secretarial practice, regulatory compliance and licensing across all business units, real estate transaction coordination with external legal counsel, and insurance administration. This is a role requiring professional maturity, deep knowledge of Jamaican corporate and regulatory law, and the organisational discipline to manage multiple compliance obligations simultaneously without dropping the ball on any of them.

Corporate Governance & Company Secretarial

▸    Serve as Corporate Secretary to Rose Hall (Developments) Limited, maintaining all statutory registers, minute books, and corporate records in accordance with the Companies Act (Jamaica)

▸    Prepare and file annual returns and all statutory documents with the Companies Office of Jamaica accurately and on schedule

▸    Provide governance advisory support to the President on corporate structure, compliance obligations, and statutory requirements

▸    Monitor legislative and regulatory developments that affect the organisation's corporate or governance obligations and advise accordingly

Regulatory Compliance & Licensing

▸    Maintain a comprehensive compliance and licensing calendar covering all operational, environmental, tourism, entertainment, health and safety, utility, and land planning requirements across every business unit

▸    Track renewal deadlines and ensure timely completion of all permits, certificates, and regulatory filings - including for the Water Reclamation Facility, Golf Courses, Great Houses, and all RHDL properties

▸    Partner with Department Heads and Managers to monitor and enforce compliance across business units; escalate risks and non-compliance promptly to the President

▸    Prepare regular compliance status reports and exception dashboards for the President with clear recommendations

▸    Serve as the organisation's primary liaison with regulatory bodies including the Companies Office of Jamaica, NLA, the Tourism Product Development Company, and other relevant agencies

▸    Coordinate and support responses to regulatory inspections, audits, and inquiries

Real Estate Transactions & Legal Coordination

▸    Coordinate land sale, transfer, and conveyancing processes in collaboration with the organisation's external attorneys

▸    Support due diligence on title matters, development agreements, and land-related compliance obligations

▸    Maintain accurate records of all land transactions, title documents, and development-related legal correspondence

▸    Monitor conditions attached to development approvals and ensure timely fulfilment of planning and land use obligations

Insurance Administration

▸    Serve as the primary internal contact for RHDL's general insurance partners across all business units

▸    Receive, document, and process all incident, accident, and property damage reports from departments

▸    File insurance claims and coordinate required follow-up with insurers, loss adjusters, and internal teams

▸    Maintain accurate and complete records of claims, correspondence, and settlement outcomes

 

03   Qualifications & Experience

 

REQUIRED

PREFERRED

▸    Bachelor's Degree in Law, Business Administration, Governance, or a closely related field

▸    Minimum 7 years' experience in corporate secretarial practice, compliance, or regulatory administration

▸    Demonstrated working knowledge of the Companies Act (Jamaica) and Companies Office of Jamaica filing requirements

▸    Proven experience coordinating real estate or land transactions in collaboration with external legal counsel

▸    Solid understanding of Jamaican regulatory framework across multiple sectors, including environmental, tourism, and land planning

▸    Experience managing compliance obligations across multiple departments or business units simultaneously

▸    Experience in insurance claims administration and insurer or loss adjuster liaison

▸    Professional membership or certification from ICSA/CGI (Chartered Governance Institute) or equivalent governance body

▸    Legal qualification or postgraduate certification in Corporate Law or Governance

▸    Exposure to land planning and development approval processes in Jamaica, including dealings with NEPA and local planning authorities

▸    Experience operating within a diversified group company or multi-entity organisational structure

▸    Familiarity with the regulatory requirements of the tourism and hospitality sector in Jamaica
