The Compliance & Corporate Governance Manager is responsible for developing, implementing, and maintaining compliance, governance, economic substance, and corporate recordkeeping programs for Abaxx Technologies Corp. and affiliated entities.

Position Summary

The Compliance & Corporate Governance Manager is responsible for developing, implementing, and maintaining compliance, governance, economic substance, and corporate recordkeeping programs for Abaxx Technologies Corp. and affiliated entities. The role serves as a key control function responsible for monitoring governance obligations, maintaining compliance frameworks, coordinating regulatory activities, and providing reporting and evidence to management and the Board.

This position transforms governance and economic substance compliance from a periodic filing exercise into an ongoing operational discipline. The role provides management and the Board with direct visibility into compliance activities, governance controls, regulatory obligations, and risk management efforts while supporting the long-term integrity of the organization's corporate structure.

Essential Duties and Responsibilities

Corporate Governance

  • Maintain governance frameworks, policies, procedures, and supporting documentation.
  • Coordinate governance activities for the Barbados entity and support governance requirements across affiliated entities as requested.
  • Maintain statutory registers, corporate records, beneficial ownership records, and compliance documentation.
  • Monitor corporate governance obligations and recommend improvements to governance practices.
  • Support Board and committee governance activities and ensure accurate recordkeeping.

Economic Substance & Regulatory Compliance

  • Maintain annual economic substance evidence files and supporting documentation.
  • Track Barbados board meetings, director attendance, physical quorum requirements, premises, employee activity, operating expenditures, and Core Income Generating Activities (CIGA).
  • Maintain records supporting economic substance, tax, and regulatory reporting requirements.
  • Coordinate required regulatory filings and compliance submissions.
  • Monitor compliance with applicable laws, regulations, and corporate obligations.

Compliance Program Management

  • Develop and maintain compliance policies, procedures, and monitoring programs.
  • Maintain compliance calendars and monitor key filing deadlines.
  • Conduct periodic compliance reviews and assessments.
  • Recommend corrective actions and process improvements when compliance risks are identified.
  • Monitor outsourced service arrangements and compliance obligations associated with third-party providers.

Risk Management & Internal Controls

  • Assist in identifying, assessing, and mitigating governance, compliance, and operational risks.
  • Monitor internal controls and governance processes.
  • Maintain documentation supporting audit and regulatory reviews.
  • Coordinate responses to compliance inquiries, audits, and regulatory examinations.

Reporting & Stakeholder Management

  • Prepare quarterly compliance and governance reports for executive leadership and the Board.
  • Coordinate with auditors, legal counsel, tax advisors, corporate service providers, and transfer pricing advisors.
  • Support intercompany service agreement administration and governance documentation.
  • Provide guidance and support to management regarding compliance and governance matters.

Other Duties

  • Support strategic projects and special initiatives as assigned.
  • Perform additional duties consistent with the scope of the role. 

Qualifications

Education

  • Bachelor's Degree in Business Administration, Finance, Accounting, Law, Risk Management, Corporate Governance, or related field required.
  • Professional certification such as ICA, CAMS, CRCM, CGP, CPA, CIA, ICSA/CGI, or equivalent preferred.

Experience

  • 6-10 years of experience in compliance, governance, audit, risk management, legal operations, financial services compliance, or corporate administration.
  • Experience supporting boards, regulatory reporting, and governance processes preferred.
