Manager - Legal Commercial Services - Job ID# 14104

OBJECTIVE/PURPOSE  

  • To manage the Company's and the NGC Group of Company's gas value chain's legal processes and contracts to ensure compliance with policies, procedures, regulations and statutory requirements.
  • To protect and safeguard the Company's and the NGC Group of Companies' assets from risks, liabilities and claims/litigations in their commercial and business operations.
  • To support the achievement of the strategic business objectives of the Company and the NGC Group of Companies.

FUNCTIONS

  • Develops and implements policies and procedures for the provision of Legal Commercial Services necessary to protect the Company and the NGC Group of Companies from liability and to ensure the achievement of corporate objectives.
  • Leads in the provision of legal advice, guidance and/or interpretations on issues, situations or transactions relevant to the Company's and the NGC Group of Companies' operations and to Senior Management as required.
  • Manages the research, preparation and revision of legal opinions on matters/issues of corporate/commercial relevance and importance.
  • Manages the research, preparation, co-ordination, revision and negotiation of the finalization of contracts and other legal documents for the Company's and the NGC Group of Companies' operations and interests.
  • Participates in the negotiations of gas purchase and supply contracts, transportation agreements, sale and purchase agreements and other legal agreements for potential projects for business investment and new ventures.
  • Legal Lead on the Company's Gas Value Chain's Teams for (i) Upstream, (ii) Midstream and (iii) Downstream Projects, etc.
  • Supports the development of the framework for contract extensions/renegotiations ensuring Company policies, procedures, strategy and delegation of authorities are adhered to.
  • Assists in the resolution of contractual disputes among customers and suppliers while engaging other competencies within NGC (for example Commercial, Finance/Accounts Divisions, Gas Transmission and Distribution (GTD) Group and Projects and Procurement Group).
  • Participates in a multi-disciplinary team to negotiate all new contracts and contract extensions relating to downstream consumers.
  • Directs the review of existing Gas Contracts ensuring compliance, and recommends improvements where necessary.
  • Participates in multi-disciplinary teams as directed by the Company, Ministry of Energy and Energy Industries (MEEI) on ad-hoc projects as they arise.
  • Develops and maintains liaison with Governmental Ministries/Officials, State Agencies, State-owned Energy-based Companies and the energy industry (local and international) to facilitate interface between the Company and all stakeholders.
  • Liaises with third parties including various government ministries and agencies affiliated with and/or affected by the Company's and the NGC Group of Companies' construction, operations and maintenance activities.
  • Leads in the development of new contracts in consultation with other stakeholders.
  • Ensures completion and execution of direct reports' career and professional development pathways.
  • Reviews and ensures that all documents/contracts are compliant with all legal and governmental regulations and renewals of all licenses, contracts, agreements and permits.
  • Maintains and safeguards legal records and original contract documents.
  • Prepares status reports on all activities/ achievements/ legal matters in the Division as required.
  • Briefs and instructs external counsels/attorneys retained by the Company as required.

MINIMUM REQUIREMENTS

The minimum requirements for the position are:

  • A Bachelor of Law Degree.
  • A Certificate of Legal Education or an equivalent professional qualification.
  • A minimum of at least ten (10) years' professional experience, preferably in Corporate or Commercial Law of which at least five (5) years must be at a Departmental Head level.
  • Experience in the Energy Sector would be considered an asset.
