JOB PURPOSE:

 

To coordinate operations within the Corporate Secretariat and assist in the provision of corporate secretarial services.

 

Main Duties and Responsibilities:

 

The successful candidate must be able to:

 

  • Assist the Corporate Secretary in the provision of general corporate secretarial services to the Board of Governors, Board Sub Committees, Academic Council and Members of UTT including Subsidiary Companies;
  • Represent the Corporate Secretary and attend meetings as required;
  • Review and issue Minutes, Notices, Agendas and Notes for Board, Board Sub Committees and Academic Council and other Committees as designated;
  • Review and issue decisions and obligations in relation to Board of Governors, Board Sub Committees and Academic Council and relevant Sub-Committees of Academic Council as required;
  • Conduct legal research and provide advice on matters/requests;
  • Assist with compliance and statutory obligations of the Office of the Corporate Secretary;
  • Interpret and apply laws, rules, and regulations applicable to the organization;
  • Participate in the review of Corporate Policies and Procedures of UTT;
  • Ensure the Corporate Secretariat databases and related Corporate Records are maintained;
  • Liaise with and respond to queries from Internal/External Auditors as required;
  • Assist with the preparation of the Department’s Annual Budget and Annual Report;
  • Undertake projects and special assignments and performs other related duties, as assigned.

 

 

Qualifications, Experience and Competencies:

 

KNOWLEDGE, SKILLS, AND ABILITIES REQUIRED:

 

  • Attorney-at-Law admitted to Practice
  • Seven (7) years’ related experience in corporate secretarial practice and corporate governance, or equivalent entity, inclusive of supervisory experience.
  • Membership within the Chartered Secretaries Association considered as an asset
  • Highly efficient, organized and professional
  • Strong Supervisory, Team and Interpersonal skills
  • Strong written and oral communication skills
  • Knowledge of research methodologies & conducting research/surveys
  • Analytical & problem solving skills
  • Proficient in MS Office Suite/related software
