Legal Officer

Location: Port of Spain

Salary: TT$15,000

 

 

JOB OVERVIEW

The Legal Officer is required to provide technical operational support to the Corporate Secretary with respect to a broad range of commercial, corporate, corporate secretarial, compliance and regulatory matters to ensure management of the legal portfolio of the Company and execution of the mandate of the Office of the Corporate Secretary as well as provide legal, executive and administrative advice and support to the Board as deemed necessary.

 

ESSENTIAL RESPONSIBILITIES AND DUTIES

  • Prepare  or  review  or  draft  contracts,  leases,  agreements  for  services,  lease  agreements, sale/purchase agreements, deeds of conveyance, bills of sale and other legal documentation and instruments;
  • Liaise with external Attorneys with respect to the Company’s legal portfolio including the preparation of briefs to external counsel;
  • Represent the Company as an attorney (if required) at the Industrial Court, Magistrates’ Court,
  • High Court, Court of Appeal and related matters;
  • Conduct legal research and prepare briefs on legal matters as directed;
  • Establish and maintain case files and makes available and easily accessible to responsible officers;
  • Assist the Corporate Secretary in developing, coordinating and maintaining an up to date corporate database of legal instruments/documents such as laws, contracts including leases, judgements, policies, minutes and other relative material in areas affecting the THE COMPANY’S’s day to day operations;
  • Prepare and file all Company registration documents, including annual returns and share certificates
  • Prepare and arrange agendas, notes, reports and minutes and other material for the Board and
  • Board Committees meetings as may be required;
  • Assist in the distribution of all information and material for the Board and Board Committees;
  • Follow up on matters arising from Board meetings with relevant personnel, state and statutory agencies, as may be required;
  • Assist in the preparation of monthly management reports and any other reports deemed necessary;
  • Perform any other duties as may be required and which will fall within the general ambit of the position.

 

 

KNOWLEDGE AND COMPETENCIES

  • Excellent knowledge and understanding of corporate law and procedures;
  • Knowledge of the methods and techniques of legal research and Laws of Trinidad and Tobago;
  • Excellent oral and written communication skills;
  • Strong interpersonal and negotiation skills;
  • Excellent organisational, relation management and time management skills;
  • High degree of professional ethics and integrity and ability to treat confidential information with great discretion;
  • High level of professionalism;
  • Ability to multi-task and meet deadlines.
  • Detail oriented;
  • Analytical skills;
  • Proficiency in MS Office Suite.

 

SUPERVISORY RESPONSIBILITIES

The incumbent has no supervisory responsibilities.

 

MINIMUM QUALIFICATIONS & EXPERIENCE

  • A University Degree (Bachelor’s degree or equivalent) in fields related to Law or other relevant areas;
  • Legal  Training  as  evidenced  by  the  possession  of  a  Legal  Education  Certificate  or  its equivalent from a recognized institution;
  • Three (3) years’ experience as a practicing Attorney at Law in a corporate environment
