Our Client, Sagicor Life Inc., is seeking to fill the position of Legal Counsel, Corporate Services.

JOB SUMMARY:

The Legal Counsel, Corporate Services assists with the provision of legal and corporate services to Sagicor Life Inc. (SLI) and its subsidiaries across the Southern Caribbean with particular focus on Trinidad & Tobago domiciled and/or operating businesses in support of corporate secretarial and regulatory compliance functions, as well as the securities and investment businesses. The general promotion of an atmosphere of good corporate governance and compliance with current statutory and regulatory requirements across multiple jurisdictions is essential. 

 

KEY DUTIES AND RESPONSIBILITIES:

  • Drafts, reviews, comments on, negotiates and approves contracts and other legal documents relating to corporate services, securities matters and investment business.
  • Analyses legal issues relating to corporate, regulatory and securities matters and investment business and advises business units and departments as required.
  • Promotes good corporate governance, a strong culture of regulatory compliance and compliance with internal and external policies across multiple jurisdictions.
  • Provides support for corporate compliance, regulatory filings, investment transactions and related matters.
  • Provides corporate secretarial services by preparing meeting materials, attending board and committee meetings, maintaining accurate corporate secretarial records, preparing Resolutions and Meeting Minutes and ensuring that annual shareholder meetings are held and recorded in a timely manner.
  • Monitors regulatory changes in the corporate, securities and financial services areas across jurisdictions and analyses and advises on the potential impact on Sagicor Southern Caribbean.
  • Participates in policy development and executes on strategic assignments, as assigned.
  • Represents Sagicor Southern Caribbean, as assigned, at meetings and/or negotiations with other attorneys and external parties, including regulatory bodies, other government agencies, auditors, consultants and vendors.
  • Provides legal support as required to SLI Sagicor Southern Caribbean on various special projects as may be undertaken from time to time.
  • Performs any other related duties as assigned.

 

QUALIFICATIONS & EXPERIENCE:

  • Bachelor’s degree in law and Legal Education Certificate.
  • Admitted to practise as an Attorney-at-Law in Trinidad & Tobago with a minimum of 7 years’ experience, a Master of Laws in Corporate and Commercial Law or other relevant area would be an asset.
  • Demonstrated experience and competence in insurance law, securities law, company law and corporate and commercial law.
  • Completion of ICSA or an equivalent professional Secretarial programme would be an asset.
  • Broad knowledge and understanding of local laws, regulations and rules applicable to insurance and other financial services.
  • Excellent legal research, analysis and writing skills.
  • Results oriented with strong organizational, interpersonal, leadership, negotiation and time management skills.
  • The ability to work independently, with appropriate exercise of confidentiality, judgment and discretion and with minimal direction.
  • Previous experience in a financial services environment and familiarity with mergers and acquisitions and regulatory, companies and securities laws would be an asset.
