The Senior Legal Officer (SLO) provides legal support to the CLO and for the corporation by effectively administering any legal activities and functions which ensure the Corporation’s legal position is well developed and maintained.
Duties & Accountabilities:
The SLO advises on a range of legal issues, including corporate, tax, real estate, subsidiaries, pension, employment, insurance and reinsurance.
Analyzes a broad range of complex laws and regulations affecting the operations of the Corporation including those arising from corporate structures and business models.
Works with all departments on developing and modifying policies and procedures to conform to legal requirements.
Reviews systems and procedures and recommends or devises strategies or mechanisms to improve the effectiveness of legal services delivery.
Anticipates and identifies legal issues of concern to the CLO and senior management team and develops legal strategies and solutions, often in situations of high risk with limited time for assessing alternatives;
Negotiates and prepares contracts and legal documents relevant to the Corporation’s projects and operations in conjunction with the CLO.
Drafts and reviews contracts and related legal documents for the management of projects, procurement of goods and services and confidentiality of proprietary information for review by the CLO. This will include but not be limited to the following:
Requests for Proposals/Tenders
Pre-qualification of contractors and consultants
Contracts and letters of engagement with consultants and contractors
Contracts, IDF agreements and MOUs with Government ministries and state agencies
Performance bonds
Bid Bonds
Deed, leases and sub leases
Financing documents
Represents the Corporation and /or senior executives and managers in legal proceedings as guided by the CLO.
Liaises with external counsel engaged by the Corporation on complex legal issues, and supervises and coordinates all work sent to external law firms as guided by the CLO.
Keeps fully informed on all legislation affecting the organization's operations and of all new developments in corporate legal matters, and keeps all levels of management informed of applicable new laws and of the progress and results of court cases.
Supervises the Legal Officers and other staff providing legal support work.
Assigns and reviews the work of the Legal Officers while providing training, advice, guidance and direction on legal matters.
Performs other related duties as required
Person Specification:
Qualifications & Experience:
The candidate must have an LLB from an accredited University and be an Attorney at Law admitted to practice in T&T and the holder of a practising certificate from the Supreme Court of the Republic of Trinidad & Tobago.
An MBA would be considered an asset.
A minimum of 7 years’ experience practising law
Executive In-House Counsel experience is required.
Litigation experience is required.
Experience with the FIDIC form of contract and management of projects is required.
