Corporate Secretary

In this regard, we are seeking to recruit a highly motivated, quality focused, results oriented individual in the following position, to join our team of professionals.
Job Purpose:
To provide legal advice and corporate secretarial services to the Board of Directors and its appointed Committees so that the principles of good corporate governance are maintained and to give legal advice and support to the Chief Executive Officer and senior management.
Position Summary
To serve as Company Secretary at meetings of the Board of Directors.
To maintain an up to date and accurate share register for the Agricultural Development Bank.
To manage the Bank’s Securities portfolio.
To provide legal advice to Board and Management as necessary.
Duties include but are not limited to:
Makes arrangements for Board and Sub-Committee meetings, attends and takes minutes of such meetings.
Communicate decisions of the Board to relevant authorities in writing.
Reviews corporate documents affixing the corporate seal where required.
Custodian of the Seal of the Bank and maintaining the Seal Register.
Maintains the Share Register.
Ensures that the Bank’s Security portfolio is always well maintained and up to date.
Ensures that the Bank meets all statutory obligations as regards to reporting to various Stakeholders
Internal Relationships
Board of Directors / Executive Management / Branch Managers / All Staff
External Relationships
Government and other state Agencies/ Financial Institutions / International Agencies Corporate Clients / Research Agencies / Attorneys-at-Law
Minimum Qualifications & Experience
Bachelor of Law Degree (LLB ) and Legal Education Certificate
Special Designation from the Institute of Chartered Secretaries will be considered an asset.
Minimum five (5) years post qualification experience in a similar or related position
Strong interpersonal skills.
Effective oral and communication skills.
Able to handle stressful situations.
Experience with Micro Soft Office and similar applications
Ability to work independently or in a team
Ability to train and supervise others, coordinate work activities and to organize and maintain an efficient filing system
Ability to identify early warning signals of possible risks and provide advice to Board and management
