The East Port of Spain Development Company (EPOS) is a company wholly owned by the government of Trinidad and Tobago. It was established in 2005 with the mandate to develop and redevelop a zone in East Port-of-Spain to improve the economic, social, and physical environment.
 
EPOS is seeking to hire a suitably qualified individual who identifies with the principles and purpose of the Company to fill the position of Corporate Secretary. 

 Job Summary                                                               

The Corporate Secretary will co-ordinate the flow of information between the Board of Directors and Management; oversees corporate compliance; and provides guidance to ensure good corporate governance, minimize risk exposures and protect the Company’s interests and reputation. The position must act in alignment with corporate objectives and the Government’s expectations, regulations, and guidelines.

 

Key Duties                                                                      

  • Schedules, plans, organizes and coordinates all meetings of the Board of Directors, Committees and Shareholders.
  • Provides advice and counsel to the Board of Directors on matters related to corporate governance and legal issues and ensures compliance with the principles of good governance.
  • Prepares for circulation to the relevant personnel all agendas and papers for meetings of the Board of Directors and Committees.
  • Attends all meetings of the Board of Directors, Committees, Annual Shareholders and other related meetings and record minutes and resolutions.
  • Circulates the decisions of the Board of Directors and all Committees to the relevant parties.
  • Monitors the implementation of the decisions of the Board of Directors.
  • Develops and implements efficient systems and procedures to ensure compliance with all statutory and legal requirements in accordance with the relevant Laws of Trinidad and Tobago and official compliance/reporting schedules.
  • Designs and conducts regular corporate governance reviews.
  • Drafts and amends governance documents and corporate policies applicable to the operations of the Board of Directions, Board Committees, and the Organization.
  • Coordinates preparation and distribution of Annual Reports.
  • Establishes and maintains the Company’s corporate records and instruments in an efficient, confidential manner and executes documents on its behalf.
  • Reviews Notes to the Board of Directors and committees and sub-committees of the Board of Directors to ensure compliance with by-laws, tender rules, and best practices prior to submission.
  • Ensures competent representation of the Company in all legal matters.
  • Drafts and reviews all legal documents; provides legal opinions and briefs; and formulates/reviews legal policies of the Company.
  • Performs related duties as assigned.

 

 Job Requirements                                                       

Qualifications and Experience

  • Bachelor of Laws from an accredited University.
  • Attorney at Law admitted to practice in Trinidad & Tobago
  • Professional certification as a Chartered Corporate Secretary will be an asset.
  • Minimum of 10 years post qualification experience.
  • 5 years’ experience as a Corporate Secretary preferably in a project management environment or within the State Enterprise Sector.

Knowledge and Skills

  • Considerable knowledge of the Laws of Trinidad & Tobago, including the Companies Act, the Public Procurement and Disposal of Public Property Act, Contract Law and other related legislation.
  • Extensive knowledge of Corporate Governance principles and practices, including knowledge of the State Enterprises Performance and Monitoring Manual.
  • Knowledge of legal principles and practices.
  • Knowledge of and skilled at negotiation, mediation and arbitration.
  • Strong organizational and time – management skills.
  • Excellent written and oral communication skills.
  • Proficiency in the use of Microsoft Office Suite.
  • Ability to analyse and interpret laws and legal issues.
  • Ability to present and explain statements of fact and the law, and to argue clearly and logically, orally and in writing.
  • Ability to establish and maintain effective working relationships with fellow employees and members of the public
